Terms of Service

1. Agreement to Terms

Welcome to MetricsUnleashed.com ("MetricsUnleashed," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the MetricsUnleashed.com website, platform, and related services (collectively, the "Service").

By accessing or using the Service, creating an account, or clicking "I Agree" (or similar acknowledgment), you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "Customer" include that organization.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

MetricsUnleashed.com is a marketing analytics platform that connects to third-party data sources including Google Analytics 4, Google Search Console, Google Ads, and Meta Ads to aggregate, analyze, and visualize marketing data. The Service includes:

  • Integration with third-party analytics and advertising platforms
  • Custom dashboards for marketing data visualization
  • Team-based multi-tenancy allowing multiple users to collaborate within a shared workspace
  • Support for multiple clients (websites/projects) per team
  • AI-powered chat and analysis features for data exploration
  • Reporting and data export capabilities

We reserve the right to modify, update, or discontinue any aspect of the Service at any time, with reasonable notice for material changes.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

  • Provide accurate information. You must provide truthful, current, and complete registration information and keep it updated.
  • Maintain password security. You are solely responsible for safeguarding your password and for all activities that occur under your account. Use a strong, unique password and do not share your credentials with others.
  • Age requirement. You must be at least 18 years of age to create an account and use the Service.
  • Notify us of unauthorized access. You must promptly notify us at support@metricsunleashed.com if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Subscription and Billing

Access to the Service requires a paid subscription unless otherwise specified (e.g., a free trial period).

  • Recurring billing. Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing, you authorize us to charge your payment method on a recurring basis.
  • Auto-renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
  • Cancellation. Upon cancellation, you will continue to have access to the Service until the end of your current billing period. We do not provide refunds or credits for partial subscription periods or unused time.
  • No refunds for partial periods. Unless required by applicable law, all fees are non-refundable. If you cancel mid-cycle, you will retain access through the end of that cycle but will not receive a prorated refund.
  • Price changes. We may change our subscription fees from time to time. We will provide you with at least 30 days' advance notice of any price increase. The new price will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the new price takes effect.
  • Taxes. All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying any taxes associated with your use of the Service.

5. Third-Party Platform Integrations

The Service connects to third-party platforms including Google Analytics 4, Google Search Console, Google Ads, and Meta Ads (collectively, "Third-Party Platforms") to retrieve and display your marketing data. By using these integrations, you acknowledge and agree to the following:

  • Your authorization responsibility. You are responsible for establishing and maintaining valid authorizations and access credentials with each Third-Party Platform. If your authorization with a Third-Party Platform expires, is revoked, or becomes invalid, MetricsUnleashed will be unable to retrieve data from that platform until authorization is restored.
  • No liability for third-party data. MetricsUnleashed is not responsible or liable for the accuracy, completeness, availability, or timeliness of data provided by Third-Party Platforms. We display data as received from these platforms and do not independently verify its accuracy.
  • API changes and availability. Third-Party Platforms may change their APIs, terms, pricing, or data availability at any time without notice to us. Such changes may temporarily or permanently affect the functionality of our integrations. MetricsUnleashed is not liable for any disruption caused by changes to Third-Party Platforms.
  • Compliance with third-party terms. You must comply with all applicable terms of service, policies, and guidelines of each Third-Party Platform you connect through the Service. This includes but is not limited to the Google Terms of Service, Google API Services User Data Policy, and Meta Terms of Service.
  • Data caching. Data retrieved from Third-Party Platform integrations may be cached temporarily for performance optimization and to reduce API usage. Cached data is subject to the same security and privacy protections as other Customer Data.
  • Google API Services Limited Use disclosure. MetricsUnleashed.com's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
  • Disconnecting integrations. You may disconnect any Third-Party Platform integration at any time through the Service. Upon disconnection, MetricsUnleashed will cease retrieving new data from that platform. Previously retrieved data may be retained in accordance with our data retention practices unless you request its deletion.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service.
  • Use the Service to develop a competing product or service, or for purposes of competitive analysis, benchmarking, or gathering competitive intelligence.
  • Use the Service in any way that could damage, disable, overburden, or impair the Service, or interfere with any other party's use of the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
  • Upload, transmit, or distribute any malicious code, viruses, or other harmful technology.
  • Use the Service to violate any applicable local, state, national, or international law or regulation.
  • Use the Service to infringe upon the intellectual property rights or privacy rights of any third party.
  • Share, resell, or sublicense access to the Service to any third party without our prior written consent.
  • Use automated means (bots, scrapers, crawlers) to access the Service except through our published APIs.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including suspending or terminating access to the Service and reporting such conduct to law enforcement authorities.

7. Intellectual Property

Our property. The Service, including its design, features, functionality, software, documentation, trademarks, logos, and all related intellectual property, is and shall remain the exclusive property of MetricsUnleashed and its licensors. These Terms do not grant you any right, title, or interest in the Service other than a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms during the term of your subscription.

Your property. You retain all ownership rights in and to the data you upload, input, or generate through the Service ("Customer Data"). Nothing in these Terms transfers ownership of your Customer Data to MetricsUnleashed.

Aggregated and anonymized data. MetricsUnleashed may use anonymized, de-identified, and aggregated data derived from your use of the Service for purposes of improving and enhancing the Service, conducting research, generating benchmarks, and developing new features. Such aggregated data will not identify you or any individual and is not considered Customer Data.

8. Customer Data

Ownership. As between you and MetricsUnleashed, you own all Customer Data. Customer Data includes data you import or that is retrieved on your behalf from Third-Party Platforms, as well as any configurations, reports, or content you create within the Service.

License to process. You grant MetricsUnleashed a non-exclusive, worldwide, royalty-free license to use, process, store, and display your Customer Data solely for the purpose of providing and improving the Service. This license is limited to what is necessary to operate the Service and fulfill our obligations under these Terms.

Your responsibilities. You represent and warrant that you have all necessary rights and permissions to provide Customer Data to the Service and to grant the license described above. You are solely responsible for the accuracy, quality, and legality of Customer Data.

Data deletion. Upon termination of your account, we will delete your Customer Data within 30 days, except where we are required by law to retain it or where it has been anonymized and aggregated as described in Section 7. You may request earlier deletion of your data by contacting us at support@metricsunleashed.com.

9. AI Features

The Service includes AI-powered analysis and chat features that use artificial intelligence and machine learning models to help you explore and interpret your marketing data ("AI Features"). By using AI Features, you acknowledge and agree to the following:

  • Provided as-is. AI Features are provided on an "as is" basis. AI-generated output, including analysis, insights, recommendations, and summaries, may not be fully accurate, complete, or up to date.
  • Not professional advice. Output from AI Features does not constitute professional, financial, legal, or marketing advice. You should independently verify any AI-generated insights before making business decisions based on them.
  • Your responsibility. You are solely responsible for evaluating and acting upon any information provided by AI Features. MetricsUnleashed is not liable for any decisions made or actions taken based on AI-generated output.
  • Continuous improvement. AI Features may change, improve, or produce different results over time as models are updated.

10. Confidentiality

"Confidential Information" means any non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") in connection with the Service, whether disclosed orally, in writing, or electronically, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to: (a) maintain the confidentiality of the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care; (b) not disclose Confidential Information to any third party except as necessary to perform its obligations under these Terms, and only to those who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information only for the purposes of exercising its rights or fulfilling its obligations under these Terms.

Confidential Information does not include information that: (i) is or becomes publicly known through no fault of the Receiving Party; (ii) was known to the Receiving Party prior to disclosure; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is rightfully received from a third party without restriction on disclosure.

11. Termination

Termination by you. You may terminate your account and stop using the Service at any time by canceling your subscription through your account settings or by contacting us at support@metricsunleashed.com. Termination will be effective at the end of your current billing period.

Termination by MetricsUnleashed. We may terminate or suspend your access to the Service if you materially breach these Terms and fail to cure such breach within 30 days of receiving written notice from us. We may also immediately terminate or suspend your access without notice if: (a) you engage in any activity that threatens the security or integrity of the Service; (b) required by law or a government agency; or (c) your account has been inactive for an extended period.

Effect of termination. Upon termination: (a) your right to access and use the Service will immediately cease; (b) you will remain liable for any outstanding fees; (c) we will delete your Customer Data within 30 days, unless retention is required by law; and (d) all provisions of these Terms that by their nature should survive termination will survive, including Sections 7 (Intellectual Property), 10 (Confidentiality), 12 (Warranty Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), and 15 (Governing Law).

12. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, METRICSUNLEASHED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, MetricsUnleashed does not warrant that: (a) the Service will be uninterrupted, timely, secure, or error-free; (b) the data or content available through the Service will be accurate, reliable, or complete; (c) the Service will meet your specific requirements; or (d) any errors or defects in the Service will be corrected.

You acknowledge that MetricsUnleashed depends on Third-Party Platforms for data and that disruptions, inaccuracies, or changes in those platforms are outside our control.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL METRICSUNLEASHED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF METRICSUNLEASHED HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF METRICSUNLEASHED FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO METRICSUNLEASHED DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations shall apply to the fullest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless MetricsUnleashed, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Service; (c) your violation of any applicable law or regulation; (d) your Customer Data, including any claim that your Customer Data infringes or misappropriates a third party's intellectual property or privacy rights; or (e) any third-party claim arising from your actions or omissions in connection with the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts. Notwithstanding the foregoing, MetricsUnleashed may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of its intellectual property rights or confidential information.

16. Changes to Terms

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. For material changes, we will provide at least 30 days' advance notice by posting the updated Terms on this page and, where appropriate, notifying you by email or through the Service.

The "Effective Date" at the top of this page indicates when the current version of these Terms was last updated. Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of those changes.

If you do not agree to the updated Terms, you must stop using the Service before the changes take effect. You may terminate your account as described in Section 11.

17. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy and any applicable order forms or subscription agreements, constitute the entire agreement between you and MetricsUnleashed regarding the Service and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
  • Waiver. The failure of MetricsUnleashed to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. MetricsUnleashed may assign these Terms without restriction.
  • Force majeure. MetricsUnleashed shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or Third-Party Platform outages.
  • No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
